Welcome to Alwayscale ("Platform," "we," "us," or "our"). Alwayscale Private Limited ("Alwayscale"), a company incorporated under the laws of India with its registered office at B-128, First Floor, Sector 2, Gautam Budh Nagar, Uttar Pradesh - 201301, India, operates the AI-powered hiring automation platform accessible at www.alwayscale.com (the "Site") and through our applications (collectively, the "Services").
These Terms and Conditions ("Terms") govern your access to and use of our Services, including the 8-step AI hiring workflow from job description (JD) creation to onboarding, features like AI JD Creator, Resume Parsing, AI Shortlist, AI Voice Bot, Manager Reports, Approvals, Offer Letters, and Joining Status tracking. By accessing or using the Services, creating an account, or submitting information (e.g., resumes or candidate data), you agree to these Terms on behalf of yourself or the entity you represent ("you" or "User"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree with these Terms, you must not use the Services. We may update these Terms at any time; continued use after changes constitutes acceptance. We'll notify you of material changes via email or on the Site at least 30 days in advance.

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these requirements and are not barred from using the Services under applicable law. Businesses using the Services must comply with all relevant regulations, including data protection laws for handling candidate information.

1.2 Accounts

To access full features, you must create an account ("Account") by providing accurate information (e.g., name, email, phone, company details). You are responsible for maintaining the confidentiality of your login credentials and all activities under your Account. Notify us immediately of any unauthorized use at contact@alwayscale.com. We reserve the right to suspend or terminate Accounts for violations.

1.3 Waitlist and Beta Access

If you join our waitlist, you agree to receive communications about availability. Early access (e.g., beta features) is at your own risk and subject to these Terms.

2. Description of Services

Alwayscale provides AI-driven tools to automate hiring for lean teams, startups, and SMBs. Key features include:

AI JD Creator: Generate SEO-friendly, ATS-ready job descriptions (editable in Starter and above).
Resume Parsing: Extract skills, experience, and education from resumes.
AI Shortlist: Rank and match candidates to JDs.
AI Voice Bot: Automate screening for salary, notice period, etc.
Manager Tools: Reports, approvals, personalized offers, and onboarding tracking
Additional Benefits: Time savings (20+ hours per hire), better matches via job fit analysis, transparent analytics, and personalized candidate emails.

Services are provided "as is" and may evolve. We may add, modify, or discontinue features with notice.

3. User Obligations and Prohibited Conduct

3.1 Your Responsibilities

Provide accurate, complete information and update it as needed.
Use Services only for lawful purposes, complying with all applicable laws (e.g., India's DPDP Act 2023 for data handling, anti-discrimination laws for hiring).
Ensure you have consent to upload candidate data (e.g., resumes) and indemnify us against claims arising from your inputs.
For employers: Treat candidate data confidentially; delete it post-hiring process unless required otherwise.

3.2 Prohibited Conduct

You agree not to:

Upload harmful code, viruses, or unlawful content.
Reverse-engineer, scrape, or misuse AI algorithms.
Use Services for spam, harassment, or discriminatory practices.
Exceed plan limits (e.g., 3 active jobs in Starter plan) or share Account access.
Interfere with Service availability or other users.

Violations may result in immediate suspension or termination without refund.

4. Intellectual Property

4.1 Our Rights

Alwayscale owns all rights, title, and interest in the Services, including AI models, software, trademarks (e.g., "Alwayscale"), and content (e.g., workflow templates). You receive a limited, non-exclusive, non-transferable license to use the Services for your internal hiring needs during your subscription.

4.2 Your Content

You retain ownership of User Content (e.g., JDs, resumes, feedback). By uploading, you grant us a worldwide, royalty-free license to host, process, and use it to provide Services (e.g., AI analysis). We may use anonymized data for improvements.

4.3 Feedback

Suggestions you provide become our property without compensation.

5. Payments, Subscriptions, Cancellations, and Refunds

5.1 Subscriptions and Billing

Plans:

o Spark (Free): 1 User, 1 Active Job. Includes Explore AI JD Creator, Resume Parsing, Candidate CRM, Basic Email Support. No credit card required; 1 hiring free.
o Starter (₹4,999/month; ₹2,999/month for first 100 customers): 5 Users, 3 Active Jobs. Includes AI JD Creator (editable), Resume Parsing, Candidate CRM, Offer Letter Creation, Email & Chat Support. Billed monthly via secure gateways (e.g., Razorpay, Stripe).
o Growth (₹9,999/month; ₹5,999/month for first 100 customers): 10 Users, 8 Active Jobs. Includes everything in Starter + AI Voice Bot Interviews, Hierarchy Approvals, Job Board Integrations, Automated Feedback & Shortlist Emails, Advanced Analytics, Priority Support. Billed monthly via secure gateways (e.g., Razorpay, Stripe).
Subscriptions auto-renew at the end of each term unless canceled. Taxes (e.g., GST) are your responsibility.
Payments: Processed securely; we do not store full card details.

5.2 Cancellations

Cancel anytime via Account settings or by emailing contact@alwayscale.com with your Account details.
Free Plans (Spark): No formal cancellation; delete your Account to end access.
Upon cancellation, access ends at cycle close; data is retained for 30 days for backup, then deleted unless legally required.

5.3 Refunds

We aim for founder-friendly flexibility, but Services are digital and usage-based. Refunds are available with deductions for specific features used, ensuring fairness:
General Policy: Full or partial refunds within 14 days of purchase if requested in writing (contact@alwayscale.com) with order ID. Refunds are prorated based on usage:
Deducted Charges: We calculate fees for consumed resources at plan rates (e.g., for Starter: ₹150 per Active Job created, ₹30 per Resume Parsed; for Growth: ₹200 per Active Job, ₹50 per AI Voice Bot Interview). Unused portions are refunded in full.

Exceptions:

No refunds for Spark plan (free).
No refunds after 14 days or for fully used cycles.
Full refunds for technical failures (e.g., Service downtime >24 hours) or billing errors, processed within 7-10 business days.
Refunds issued to original payment method. Disputes unresolved after 30 days may proceed to arbitration (see Section 12).

5.4 Free Trials or Promotions

Any free trials follow the same usage-based deduction if upgraded mid-trial.

5.5 Shipping & Delivery Policy

Since Alwayscale is a digital SaaS platform, there is no physical shipping or product delivery. Upon successful payment or subscription activation, access to your chosen plan is instantly provisioned online through your registered account.

Access Credentials: Sent to your registered email immediately post-payment.

Activation Time: Within 6 hours.

No physical goods are shipped.

This fulfills payment gateway compliance for digital service delivery.

6. Termination

6.1 By You

Cancel per Section 5.2.

6.2 By Us

We may suspend or terminate your access for violations, non-payment, or at our discretion (with notice where possible). Upon termination, outstanding fees are due immediately.

6.3 Effects of Termination

Your license ends; we may delete data after 30 days. Accrued obligations (e.g., payments) survive.

7. Disclaimers and Warranties

Services are provided "as is" without warranties, express or implied (e.g., merchantability, fitness for purpose). AI outputs (e.g., candidate rankings) are advisory; you bear responsibility for hiring decisions. We do not guarantee match accuracy, uptime (target 99%), or results (e.g., hires made).

8. Limitation of Liability

To the maximum extent permitted by law, Alwayscale's total liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits, hiring delays). This applies even if advised of possibility.

For candidate data breaches due to your negligence, our liability caps at ₹1,00,000.

9. Indemnification

You agree to indemnify and hold Alwayscale harmless from claims arising from your use, User Content, or violations (e.g., unauthorized data uploads).

10. Third-Party Services

Services may integrate with third parties (e.g., job boards, payment processors). Your interactions are governed by their terms; we are not responsible.

11. Privacy

Your privacy is important. See our Privacy Policy for details on data handling, including candidate information in workflows.

12. Governing Law and Dispute Resolution

These Terms are governed by Indian law, without regard to conflicts. Disputes shall be resolved exclusively in courts of Noida, Uttar Pradesh. For claims under ₹20 lakhs, we encourage informal resolution first (contact@alwayscale.com). Arbitration under the Arbitration and Conciliation Act, 1996, may apply for higher amounts.

13. Miscellaneous

Entire Agreement: These Terms, with Privacy Policy, constitute the full agreement.
Severability: Invalid provisions do not affect others.
Waiver: No waiver unless in writing.
Assignment: We may assign; you may not without consent.
Force Majeure: Excused for events beyond control (e.g., outages).
Export Controls: Comply with applicable export laws.

2. Eligibility

By registering, you confirm that the information you provide is accurate and up to date.

3. Use of Information

We will use your contact details (name, email, phone number, company, role) to provide updates, early access invitations, and product information.

Your data will not be sold or shared with third parties, except as required by law or with your explicit consent.

4. Product Availability

Features described (e.g., JD Generator, Resume Parsing, AI Shortlisting, Offer Letters) are subject to change as we improve the platform.

Early access users may receive limited, beta, or trial versions of the platform.

5. No Obligation

Joining the waitlist does not obligate you to purchase or subscribe to AlwaysScale.

Likewise, AlwaysScale is not obligated to provide access to all registrants.

6. Communication

By joining, you consent to receive emails, WhatsApp/SMS, or other communications about Alwayscale’s product updates, early access programs, and promotions.

You may opt out at any time by clicking “unsubscribe” or contacting us directly.

7. Intellectual Property

All product concepts, visuals, and communications related to Alwayscale remain our intellectual property. Waitlist members may not copy, distribute, or misuse them.
