These Terms and Conditions (“Terms”) govern access to and use of the Alwayscale platform and services (“Platform” or “Services”), operated by Alwayscale Private Limited (“Alwayscale,” “we,” “us,” or “our”), a company incorporated under the laws of India, with its registered office at: B-128, First Floor, Sector 2, Gautam Budh Nagar, Uttar Pradesh – 201301, India By accessing, registering for, or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that entity. If you do not agree, you must not access or use the Services. 1.Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. By using the Platform, you represent that:
- You meet eligibility requirements
- You are not prohibited from using the Services under applicable law
- You will comply with all relevant laws, including data protection and employment regulations
2. Accounts and Access
2.1 Account Registration
To access certain features, you must create an account by providing accurate and current information.
You are responsible for:
- Maintaining confidentiality of credentials
- All activities conducted under your account
- Promptly notifying us of unauthorized access
We may suspend or terminate accounts that violate these Terms.
2.2 Waitlist, Early Access, and Beta Use
Registration for waitlists or early access does not guarantee access, timing, or feature availability. Early access features may be experimental, limited, or modified at any time and are provided on an “as available” basis.
3. Description of Services
Alwayscale provides software infrastructure that supports structured, evidence-led people decisions and approvals.
The Platform may include tools for:
- Defining decision criteria
- Structuring evaluation inputs
- Generating decision summaries and reports
- Supporting collaborative approvals
- Tracking decision outcomes
Features may evolve, change, or be discontinued with reasonable notice. All Services are provided on an “as is” and “as available” basis.
4.User Responsibilities and Acceptable Use
4.1 Your Responsibilities
You agree to:
- Provide accurate and lawful information
- Ensure you have legal rights and consent to upload any personal or third-party data
- Use the Platform only for lawful and ethical purposes
- Comply with applicable data protection, labor, and non-discrimination laws
You are solely responsible for decisions made using the Platform.
4.2 Prohibited Conduct
You must not:
- Upload malicious code or unlawful content
- Reverse engineer or misuse the Platform
- Scrape, harvest, or extract data without authorization
- Use the Platform for discriminatory, abusive, or unlawful purposes
- Interfere with system integrity or access controls
Violations may result in immediate suspension or termination.
5. Intellectual Property
5.1 Our Rights
All rights, title, and interest in the Platform, including software, models, documentation, trademarks, and proprietary systems, remain with Alwayscale. You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business purposes during the term of access.
5.2 Your Content
You retain ownership of content you submit (“User Content”).
By submitting content, you grant Alwayscale a limited license to host, process, and use it solely to provide the Services. Aggregated or anonymized data may be used to improve the Platform.5.3 Feedback
Any feedback or suggestions you provide may be used by Alwayscale without obligation or compensation.
6. Subscriptions, Payments, and Free Access
6.1 Subscriptions
Paid plans, pricing, usage limits, and billing terms are communicated at the time of purchase and may change with notice. Subscriptions renew automatically unless canceled before the renewal date.
6.2 Free Access and Trials
We may offer limited-time free access or trial periods. Such access is subject to these Terms and may include usage limits.
Free access does not guarantee continued availability or feature parity.
6.3 Cancellations
You may cancel your subscription at any time. Access continues until the end of the current billing cycle unless stated otherwise.
6.4 Refunds
Refunds, if offered, are governed by the specific plan or promotion terms communicated at purchase. Digital services are generally non-refundable once accessed, except where required by law.
7. Termination
7.1 By You
You may stop using the Services at any time.
7.2 By Us
We may suspend or terminate access for violations, non-payment, legal requirements, or risk to the Platform.
7.3 Effect of Termination
Upon termination:
- Your license to use the Platform ends
- Access is revoked
- Data may be deleted after a reasonable retention period unless legally required
8. Disclaimers
The Platform is provided “as is” without warranties of any kind.
Alwayscale does not guarantee:
- Accuracy of outputs
- Outcomes of decisions
- Continuous availability or error-free operation
All decision-making responsibility remains with the user.
9. Limitation of Liability
To the maximum extent permitted by law, Alwayscale’s total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold harmless Alwayscale from claims arising out of:
- Your use of the Platform
- Your content or data uploads
- Violations of law or these Terms
11. Third-Party Services
The Platform may integrate with third-party services. Alwayscale is not responsible for third-party terms, availability, or practices. Use of third-party services is governed by their respective agreements.
12. Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how personal data is handled.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Courts located in Noida, Uttar Pradesh shall have exclusive jurisdiction. We encourage good-faith resolution before initiating formal proceedings.
14. Miscellaneous
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement
- Severability: Invalid provisions do not affect enforceability
- Waiver: No waiver unless in writing
- Assignment: You may not assign without consent
- Force Majeure: Not liable for events beyond reasonable control
